If you are buying or selling a business, our corporate finance services apply to both family and owner-managed business as well as larger enterprises. Transaction sizes are typically in the range of £1m to £100m. Currently we have undertaken more than 30 projects, split roughly 60:40 between disposals and acquisitions, and with an average deal value of £5.35m.

When selling, we orchestrate the whole sales process so that you can focus on running your business whilst we help identify purchasers. Where competing offers are received, we can guide you on the relative merits of each, maximising the cash you receive.

Corporate Finance Services are led by Adrian Barker BA Hons FCA (Managing Director) whose experience has been gained over a period of 25 years of all types of share valuation, company sales and acquisitions for a wide range of sectors for limited companies, mostly family owned and managed, consistent with our client base. Adrian is a member of the Corporate Finance Faculty of the ICAEW.

Recent assignments have included:

  • Led the sale of a £(Confidential)m highly regarded privately-owned Shropshire business, and subsequently advising on the approach to investing the proceeds into other family business interests. Negotiation of commercial terms and advice on competing offers. (Warehouse & Distribution);

  • Valuation, assisting with preparing the business for market and assisting the client with the disposal of a £(Undisclosed)m family owned business. (Anaerobic Digestion);

  • Succession planning for a Mid Wales construction group and subsequent assistance in restructuring, including advising on cash that can be withdrawn by retiring director without hindering trading position of the group (Commercial Construction Projects);

  • Due diligence report and preparation of valuation for client’s purchase of a marina business and related land (Leisure);

  • Preparation of a valuation & advising of a £(Undisclosed)m family owned business on director’s retirement and succession planning to sell to the management team. (Farming);

  • Preparation of a valuation report & advising a minority shareholder in a privately-owned business on an offer to purchase his shares. (Construction);

  • Preparation of a valuation on behalf of the company, of an equipment sale and rental company in respect of the buy back of a 50% shareholder’s shares and responding to the shareholder’s own third-party valuation. Assistance with negotiations. (Materials Handling Equipment Distribution);

  • Assistance with the disposal of an owner-managed business, where the directors and shareholders were in conflict with each other, including ensuring cash proceeds and earnout were tax efficient and met the directors’ expectations for their retirement plans. (Farming).
